Small Business Buyers

($250K – $5M Deals)

If you’re purchasing a main-street or lower-middle-market business—Yaw Capital helps you secure SBA 7(a) or hybrid debt structures designed for cash-flow acquisitions.

Our advisors evaluate both you and your target business through metrics that matter: historical EBITDA, debt-service-coverage ratio (DSCR), liquidity, and your operational background. We then match your deal with lenders most likely to approve and fund efficiently.

Mid-Market & Institutional Buyers

($5M – $250M Deals)

For larger acquisitions and portfolio roll-ups, Yaw Capital’s Capital Markets Team sources multi-layered capital stacks across senior, mezzanine, and private credit financing. We engage commercial banks, private-credit funds, and institutional investors to optimize leverage and cost of capital.

Sellers & Brokers: Prequalify a Business

Before you go to market, Yaw Capital can prequalify your business so qualified buyers know it is financeable. Our Sell-Side Prequalification evaluates the company’s historical performance, cash-flow durability, working-capital profile, and collateral to determine indicative debt capacity and the most likely capital path (e.g., SBA 7(a) for smaller transactions; conventional/capital-markets solutions for larger deals).

Once our analysis is complete, you’ll receive a Lender-Ready Finance-ability Summary outlining indicative loan size, target leverage, DSCR, and covenant expectations.

What we assess (sell-side):

Why it matters:

Prequalifying a business expands the qualified buyer pool, reduces re-trades, signals credibility to lenders, and shortens cycle time from LOI to funding—often resulting in stronger offers and higher certainty of close.

Timeline: typically 1-2 business days after receiving complete financials and key documents. (Indicative; final terms depend on buyer qualifications and full underwriting.)

The Yaw Capital Process

Every engagement follows a transparent, results-driven methodology.

Discovery & Intake

Provide basic details about your acquisition target and personal background. Within days, we identify viable financing paths and issue you a Pre-Qualification Letter.

Discovery & Intake

Prequalification & Financial Review

Yaw Capital offers two distinct types of prequalification—one focused on buyers and the other on businesses—each designed to accelerate deal certainty and strengthen lender confidence.

Buyer Prequalification

For acquirers (individuals, partnerships, or investment groups), our underwriting team analyzes personal and financial capacity to determine the range and structure of acquisitions you can confidently pursue.

We evaluate credit, liquidity, income, existing debt, and experience in management or ownership. If you’ve already identified a target, we review the seller’s financials, normalize EBITDA, and estimate DSCR (Debt Service Coverage Ratio) based on realistic purchase assumptions.

Business Prequalification

Business Prequalification

For sellers and brokers representing a business for sale, Yaw Capital performs a sell-side prequalification to assess whether the company itself qualifies for acquisition financing under SBA or conventional lending standards.

We analyze the company’s historical financials, adjusted EBITDA, customer concentration, collateral, and industry risk to establish indicative debt capacity and structure expectations. The result is a lender-oriented summary that you can present to buyers and M&A advisors to streamline offers and accelerate closings.

Lender Matching & Structuring

We identify lenders most likely to approve your transaction—banks, credit unions, SBLCs, and private-credit firms—based on your target’s size, industry, and deal profile.

Yaw Capital negotiates interest rates, amortization terms, and collateral requirements to ensure the most competitive outcome. We present multiple options so you can compare terms before committing.

Underwriting & Conditional Approval

Once a lender is selected, we assemble your full financing package: business financials, tax returns, purchase agreement, projections, and management resumes. Our team communicates directly with underwriters to keep the process moving.
